This YYChat Agreement (the "Agreement") is entered into between YYChat (hereinafter referred to as "Provider"), and the user (hereinafter referred to as "User") who wishes to access and use the YYChat App (hereinafter referred to as the "App").
By installing and using the App, User agrees to be bound by the terms and conditions set forth in this Agreement. This Agreement governs the relationship between Provider and User and constitutes the entire agreement between the parties with respect to the App.
Provider grants User a non-exclusive, non-transferable, revocable license to install and use the App for personal, non-commercial purposes. User may not sublicense, distribute, modify, or create derivative works of the App. Provider reserves all rights not expressly granted in this Agreement.
the App is designed to enhance the user experience on the Managebac platform by providing GPA calculation and planning features. Provider makes no guarantees regarding the accuracy or completeness of the calculations performed by the App. User acknowledges that the App is provided "as is" and assumes all risks associated with its use.
User agrees to use the App in accordance with applicable laws and regulations. User shall not use the App for any illegal, unauthorized, or unethical purposes. User is solely responsible for maintaining the confidentiality of any login credentials associated with the App.
All intellectual property rights in the App, including but not limited to copyrights, trademarks, and trade secrets, are owned by Provider. User agrees not to infringe upon or misappropriate any intellectual property rights of Provider.
User agrees to indemnify, defend, and hold harmless Provider and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of or in connection with User's use of the App or any breach of this Agreement.
In no event shall Provider be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the App, even if Provider has been advised of the possibility of such damages. Provider's total liability under this Agreement shall not exceed the amount paid by User, if any, for the use of the App.
This Agreement shall remain in effect until terminated by either party. Provider may terminate this Agreement immediately and without notice if User breaches any provision of this Agreement. Upon termination, User must cease all use of the App and delete all copies of the App from User's devices.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Provider is located. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Provider may modify this Agreement at any time by posting the revised terms on its website or through other reasonable means. User's continued use of the App after the effective date of any modifications constitutes acceptance of the modified Agreement.
This Agreement constitutes the entire agreement between Provider and User with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether oral or written.
By installing and using the App, User acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
